GREENFORT has advised the Swedish Lifco Group on the acquisition of a majority stake in ErgoPack Deutschland GmbH. Closing of the transaction is subject to merger clearance.
Lifco Group acquires majority stake in Ergopack Deutschland GmbH. The Lifco Group acquires a majority stake in ErgoPack Deutschland GmbH. The founder and long-standing managing director Mr. Andreas Kimmerle will continue to shape the future of ErgoPack in a leading position on an operational-strategic level as well as a co-partner. ErgoPack, based in Lauingen, Bavaria, is the market leader in the field of mobile, ergonomic pallet strapping systems. Since its foundation, more than 10,000 systems have been sold in more than 50 countries worldwide. Over the past 10 years, double-digit growth rates have been achieved on average every year. The strapping systems have a broad, cross-sector application spectrum and are used wherever pallets have to be strapped ergonomically and time-efficiently.
“We are very impressed by the development of ErgoPack into the leading supplier of mobile pallet strapping and the continuing passion of Mr. Kimmerle to improve ErgoPack step by step, be it on the sales level in cooperation with the dealers or through product extensions. We look forward to working with him to develop ErgoPack in the long term,” said Per Waldemarson, CEO of the Lifco Group.
The transaction is expected to close in August after regulatory approval.

LOCAL QUALIFICATION OF ELSA GERMANY MOOT COURT (EDMC) AT GREENFORT
How does it feel to appear before a civil court as claimant or defendant? How do you efficiently represent your client’s interests? When preparing the written submissions, which arguments do you present in which particular way to convince the judge? On 25 January 2019, law students from Goethe-University Frankfurt again had the opportunity to make this experience during a key qualification course, the ELSA Germany Moot Court (EDMC) hosted by Greenfort. The civil court consisted of the Greenfort lawyers Daniel Röder and Tobias Glienke as well as Greenfort legal trainee Franziska Bliewert. The four intensive hearing rounds of the eight teams that had already exchanged written briefs prior to the court hearing were observed by a large audience. During a full day work shop, Daniel Röder and Tobias Glienke had prepared the students for the Moot Court: the participants practiced the drafting of written briefs, how to appear before court and how to use certain negotiation and settlement skills. In the end, Thomas Lauterbach and Seung-Jin Yoo succeeded and qualified for the regional competition. Congratulations and good luck!

MHT Holding AG (MHT) has been acquired by Krones AG (Krones), a leading manufacturer of filling and packaging solutions. Based in Hochheim, Germany, MHT manufactures a broad range of injection molding tools and services for the PET industry together with its subsidiaries.
The acquisition of MHT closes a gap in Krones’ PET value chain and will expand its PET preform portfolio.

Greenfort prepares students for legal practice
Tobias Glienke and Daniel Röder will prepare students to meet the challenges of legal practitioners in a key qualification course at the Goethe-University Frankfurt. During a full-day workshop, the students will learn the basics of civil-procedure, legal tactics and presentation techniques: From the mandatory content of statements of claim and defense, general hints for the drafting of legal submissions to the behavior and presentation before court. Subsequently, the participants can put theory to practice as they take part in the ELSA Moot Court Germany local round. Teams of two will act as counsel for claimant or defendant by drafting a statement of claim or defense and proving their tactical and rhetorical skills before court.

Greenfort advises Austrian Styria Media Group in connection with its investment in Offerista Group
Greenfort has advised Austrian media group Styria Media Group in acquiring a stake in the German Offerista Group. Following merger clearance and closing of the transaction, Styria Media Group now holds 20% of the shares in Offerista Group GmbH through its subsidiary Styria Digital Marketplaces GmbH. Styria Media Group acquired the shares as part of a capital increase of Offerista Group GmbH and in turn contributed its wholly-owned subsidiary wogibtswas GmbH into Offerista Group GmbH.
The Berlin-based Offerista Group as well as wogibtswas GmbH are both active in distributing digital brochures and advertisements for their clients, mostly consumer goods retailers. While Austrian market leader wogibtswas GmbH mainly reaches out to consumers through its own platform wogibtswas.at and its own app, Offerista uses third party publishers in addition to its own channels (app and marktjagd.de).

GREENFORT ADVISES REMONDIS IN THE ACQUISITION OF THE “GRÜNE PUNKT” GROUP
Greenfort has advised Remondis, Germany’s largest waste management group with its seat in Lünen, in connection with the acquisition of Duales System Deutschland (DSD). The Cologne-based group DSD is the largest of nine dual systems in Germany which handles the disposal and recycling of sales packaging for industries and trade. DSD holds the trademark rights of the recycling symbol „Grüner Punkt“ (Green Dot). The transaction still has to be cleared by the German Federal Cartel Office.
Sellers of DSD were, inter alios, the management of the group as well as British private equity investors, including H.I.G. Capital.

Feintool, the Swiss globally active market leader in high-precision blanking, has acquired Stanzwerk Jessen GmbH and its subsidiaries, including the operative Stanz- und Lasertechnik Jessen GmbH based in Jessen, Saxony-Anhalt. Sellers were Steadfast Capital, a private equity investment company, which acquired a majority shareholding in Stanzwerk Jessen GmbH in 2016 as part of a management buy-out, and the current management of the Stanzwerk Jessen Group.
Stanz- und Lasertechnik Jessen GmbH was founded in 1879 as a metalworking company. Today, the company produces high-precision, tool-bound electric components for electric motors and transformers and produces them especially for the automotive industry.

General Meeting Hands-On: Spring School „Corporate Law in Practice“
During the Spring School “Corporate Law in Practice” organized by Frankfurt University’s Institute for Law and Finance, a team of Greenfort lawyers conducted a role-play introducing 20 young lawyers to the procedure, the organization and legal basics of a publicly listed stock corporation’s general meeting. The participants received true to original invitations to the general meeting, were shown their seats by the security service and could be part of the action as shareholders of “Süddeutsche Auto-Produktions AG”. At the end, they could vote on the agenda items with real ballot papers. To simulate typical problems of a general meeting, a few Greenfort lawyers registered as “critical shareholders” who made numerous applications, disturbed the general meeting until they were thrown out and gave furious speeches.

Training for the Willem C. Vis Moot Court in Hongkong und Vienna
The Willem C. Vis International Commercial Arbitration Moot Court is the biggest international student’s competition in the field of private arbitration. Once a year, students of over 250 Universities from all over the world compete in Vienna and Hongkong where they represent fictional clients as claimant or respondent in simulated hearings before real arbitrators. Greenfort lawyers Daniel Röder, Tobias Glienke and Viktoria Hermann prepared four students from the University of Münster for these prestigious events. During a pre-moot, they practiced how to try a case and how to behave in front of an English-language arbitral tribunal. Greenfort wishes best of luck for Hongkong and Vienna!

On October 6, 2017, Lifco’s subsidiary Interadent Zahntechnik GmbH acquired 100% of the shares in CDL City-Dentallabor GmbH and Hohenstücken-Zahntechnik GmbH that offer dental prosthetics to dentists in Germany.

Greenfort advised EDP European Dental Partners, a subsidiary of the Swedish listed company Lifco, regarding the acquisition of the majority of the shares in Computer konkret AG that is developing, selling and supporting dental software to dentists and orthodontists in Germany.
Computer konkret AG employs about 50 employees and is based in Falkenstein.
